We can envisage the following two different scenarios:
A) The simplest and least expensive case is that of operating in Italy with your own employees, where your operations do not involve the performance of “commercial activities as such“; that is to say that your operations in Italy are limited to services that are ancillary to the “commercial” ones that you ordinarily carry out in your country. For example, Call Center Services, after-sales assistance services, after-sales consultancy, presentation and visibility of your own products and services without producing and selling on site.
B) The most complex case and the one that requires a certain amount of investment is the one in which you intend to carry out an activity considered “properly commercial” in Italy; that is to say, production and/or sales of goods or services, for example, opening offices, opening factories, or points of sale with employees assigned to production and/or sales who also carry out sales and/or production of goods or services.
Therefore – depending on the actual operations of your staff in Italy –
we can identify the following two distinct operational situations:
“Non-commercial” operations
What you need to do in case a):
You do not need to invest capital and the costs are quite low; you simply need to open an “Italian Tax Code” (tax registration number) also indicating your “Tax Representative in Italy” for the sole purpose of ensuring compliance with the tax and social security regulations concerning human resources located in Italy, for whom you will have to issue a monthly pay slip and fulfill all the necessary obligations to comply with the tax and social security regulations connected to the tax and social security management of your employees located in Italy.
If this is the case of interest to you, then CONSITA will be able to provide these services:
- Opening an Italian tax code T.R.N. for your company:
- Performing the role of Tax Representation in Italy for your company (through our Certified Accoundant);
- Monthly processing of pay slips and all the necessary formalities concerning the liquidation and of tax withholdings and social security contributions to the relevant Authorities.
- Granting of Power of Attorney to one of our Certified Business Advisors for tax representation in Italy, translated and apostilled;
- Certification of the Chamber of Commerce of your country or other official documentation (translated into Italian and apostilled) containing the indication of the powers of the Administrator translated and apostilled by a notary of your country or other similar public authority
- Copy of the identity document (or passport) with a declaration of authenticity translated into Italian and apostilled by a notary of your country or other similar public authority.

“Commercial” operations
What you need to do in case b):
CONSITA, through our qualified staff and a Certified Advisor appointed to you, will assist and guide you in:
- opening a Company under Italian law, or registering your Branch on Italian territory;
- obtaining any necessary operating licenses;
- keeping accounting records and drafting the balance sheet;
- reporting obligations towards the Tax Office and with the competent social security and administrative authorities
- monthly processing pay slips and all the necessary formalities concerning the liquidation and payment of tax withholdings and social security contributions to the relevant Authorities.
